Terms of Service

3.1 Access Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Hosted Service solely for browsing the website and accessing open-source code via GitHub authentication.

3.2 User Responsibilities

To access the open-source code, you must log in using a valid GitHub account. You are responsible for:

• Maintaining the security and confidentiality of your GitHub account credentials.
• All activities conducted under your GitHub account.
• Providing accurate and up-to-date information during authentication.
• Ensuring you have the legal authority to provide GitHub account data to us.

3.3 Acceptable Use

You agree to use the Hosted Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Hosted Service for illegal, fraudulent, or harmful activities.
• Attempt to gain unauthorized access to the Hosted Service, other users' accounts, or our systems.
• Distribute malware, viruses, or other harmful code.
• Interfere with or disrupt the Hosted Service's functionality, performance, or security.
• Use the Hosted Service to infringe on any third-party rights, including intellectual property rights.
• Reverse engineer, decompile, or attempt to extract the source code of the Hosted Service, except as permitted by the MIT License for the open-source code.

3.4 Suspension

We may suspend your access to the Hosted Service immediately if you breach these Terms or engage in activities that harm the Hosted Service or other users.

4.1 Hosted Service

The Hosted Service, including website content (e.g., text, design, graphics), is owned by Agentri.ai or its licensors and is protected by copyright, trademark, and other intellectual property laws, except for the open-source code licensed under the MIT License.

4.2 Open-Source Code

The code accessible through the Hosted Service is provided under the MIT License, available at www.agentri.ai. You may use, modify, and distribute the code in accordance with the MIT License, provided you include the appropriate license notice and disclaimers.

4.3 User Data

You grant us a non-exclusive, royalty-free, non-sublicensable, non-transferable license to use, store, and process data you provide (e.g., GitHub account data, feedback, or inquiries) solely to operate the Hosted Service, respond to inquiries, or improve the service, in accordance with our Privacy Policy. Feedback you provide is not considered confidential, and we may use it to enhance the Hosted Service without restriction.

6.1 Definition

"Confidential Information" means any non-public information disclosed by one party (the "Discloser") to the other (the "Recipient") that is marked as confidential or should reasonably be considered confidential (e.g., proprietary service data or sensitive feedback), excluding information that:

• Was known to the Recipient before disclosure, as shown by written records.
• Becomes publicly known without the Recipient's fault.
• Is received from a third party not bound by confidentiality obligations.

6.2 Use and Protection

The Recipient may use Confidential Information only to perform obligations or exercise rights under these Terms. The Recipient must use reasonable care to protect Confidential Information and not disclose it to third parties, except to employees or contractors bound by similar confidentiality obligations.

6.3 Required Disclosures

If required by law to disclose Confidential Information, the Recipient will notify the Discloser promptly and cooperate to protect the information, at the Discloser's expense.

7.1 As-Is Basis

The Hosted Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Hosted Service will be uninterrupted, error-free, or secure.

7.2 Open-Source Code

The open-source code is provided under the MIT License without additional warranties. You are responsible for evaluating and implementing the code, including any AI agents you develop. We are not liable for any outcomes or damages resulting from your use of the code.

7.3 Third-Party Services

The Hosted Service uses GitHub for authentication. GitHub's terms and privacy policies apply to your use of their services. We are not responsible for GitHub's practices or any issues arising from your use of GitHub.

8.1 Exclusion of Consequential Damages

In no event shall Agentri be liable for any indirect, consequential, or special damages, including lost profits or lost data.

8.2 Limitation of Total Liability

The total aggregate liability of Agentri shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

9.1 By Agentri.ai

You are solely responsible for ensuring your use of the Hosted Service does not infringe on any third-party intellectual property rights.

9.2 By You

You will indemnify, defend, and hold Agentri.ai and its affiliates, officers, directors, and contributors harmless from claims by third parties arising from your use of the Hosted Service in violation of these Terms, your provided data, or your violation of GitHub's terms.

9.3 Procedure

If a party seeks indemnification, it will promptly notify the other party, cooperate in the defense (at the indemnifying party's expense), and allow the indemnifying party to control the defense. Any settlement requires mutual consent, not to be unreasonably withheld.

10.1 Term

These Terms are effective as long as you use the Hosted Service, unless terminated earlier as provided below.

10.2 Termination

We may suspend or terminate your access to the Hosted Service at our discretion, with or without notice, if you breach these Terms or engage in activities that harm the Hosted Service or other users. You may terminate your use at any time by ceasing to access the Hosted Service. Upon termination:

• Your right to access the Hosted Service ceases.
• You may continue to use any downloaded open-source code under the MIT License.
• Each party will return or destroy the other's Confidential Information, at the Discloser's election.

10.3 Survival

Sections 4 (Intellectual Property), 5 (Privacy), 6 (Confidentiality), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Termination), and 11 (General Provisions) together with any other provisions which by their nature are intended to survive, shall survive termination of these Terms.

11.1 Force Majeure

No party will be liable for failure or delay in performing obligations under these Terms due to events beyond their reasonable control, including natural disasters, public health emergencies, acts of terrorism, war, infrastructure disruptions, or labor disputes.

11.2 Severability

If any provision of these Terms is found unenforceable, it will be reformed to the extent necessary to make it enforceable, and the remaining provisions will continue in effect.

11.3 Notices

All notices under these Terms must be in writing and sent to contact@agentri.ai for Agentri.ai or to your email provided for you. Notices are deemed given upon receipt via email or one day after deposit with a commercial overnight carrier.

11.4 Relationship of Parties

These Terms do not create an agency, employment, joint venture, or partnership. Neither party may bind the other or create third-party rights.

11.5 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Oslo, Norway.

11.6 Modification of Terms

We reserve the right to modify these Terms at any time by posting the revised terms on our website. Your continued use of the Hosted Service after such changes become effective constitutes your agreement to the new terms.

11.7 Age Requirement

The Hosted Service is not intended for and may not be used by individuals under the age of 16. By using the Service, you represent and warrant that you are at least 16 years of age.
